Terms of service
TERMS OF SERVICE
Last updated: September 2026
These Terms of Service (“Terms”) govern your use of the SOLEA LIVING website and any purchase of goods or services from SOLEA LIVING.
The website located at https://solea.living is operated by SOLEA LIVING, ABN 24 460 665 250, trading as SOLEA LIVING (“SOLEA”, “SOLEA LIVING”, “we”, “us” or “our”).
By accessing our website, submitting an enquiry, requesting a tailored configuration, accepting a quotation, or placing an order with us, you agree to these Terms.
Please read them carefully before making a purchase.
Nothing in these Terms excludes, restricts or modifies any rights or remedies that cannot lawfully be excluded under the Australian Consumer Law or other applicable law.
1. About SOLEA LIVING
SOLEA LIVING supplies contemporary outdoor furniture and associated products.
Our collection may include:
- outdoor sofas;
- modular seating;
- lounge chairs;
- sun loungers;
- coffee tables;
- complementary furniture and accessories; and
- tailored or made-to-order configurations.
Some products are produced, procured, finished or configured specifically for an individual customer after an order is placed.
2. Eligibility to purchase
By placing an order, you confirm that:
- you are at least 18 years old;
- you have legal capacity to enter into a binding agreement;
- the information you provide is accurate and complete; and
- you are authorised to use the payment method used for the purchase.
If you place an order on behalf of another person, company or organisation, you confirm that you have authority to bind them to the order.
3. Product information
We take reasonable care to ensure that product descriptions, dimensions, photographs, specifications and other information displayed on our website are accurate.
However, furniture is a physical product and reasonable differences may occur between digital representations and the finished product.
Unless expressly stated otherwise, images are provided for illustrative purposes and may show:
- styling items not included with the product;
- accessories sold separately;
- products in different configurations;
- different lighting conditions;
- surrounding furniture or architectural elements; or
- finishes that appear differently depending on the display used to view them.
Customers should rely on the written product specifications and confirmed order details when making purchasing decisions.
If a particular characteristic is important to your purchase, please contact SOLEA before ordering.
4. Dimensions and tolerances
Product dimensions are stated on the relevant product page or quotation.
Furniture may be subject to minor manufacturing tolerances.
Measurements should therefore be treated as nominal measurements unless expressly stated otherwise.
For tailored products, the dimensions recorded in the final written specification or quotation approved by the customer will take precedence over general dimensions shown elsewhere on the website.
Nothing in this section permits SOLEA to supply goods that are materially different from their description or agreed specifications.
5. Natural materials and product variation
SOLEA furniture may incorporate timber, fabrics and other materials that naturally vary.
Variations may include differences in:
- grain;
- texture;
- tone;
- colour;
- pattern;
- knots and natural markings;
- surface character; and
- the way a finish interacts with the underlying material.
These characteristics can make individual pieces visually different from photographs, samples or other pieces made from the same material.
Natural materials may also change appearance over time as they age and are exposed to their environment.
Reasonable variation inherent in a natural material is not, by itself, evidence that a product is defective.
Nothing in this clause affects your rights where goods fail to comply with a consumer guarantee under the Australian Consumer Law.
6. Colours, fabrics and finishes
We make reasonable efforts to display product colours and finishes accurately.
However, the appearance of colours may vary because of:
- screen calibration;
- device settings;
- lighting;
- photography;
- surrounding colours;
- fabric dye lots;
- natural material variation; and
- production batches.
Where physical samples are supplied, samples are intended to provide a reasonable representation rather than guarantee an identical colour, grain or pattern.
Where exact appearance is particularly important, please discuss this with SOLEA before approving your order.
7. Outdoor furniture and environmental exposure
Products described as outdoor furniture are designed for outdoor use appropriate to their intended materials and construction.
Outdoor products will nevertheless be affected over time by exposure to environmental conditions.
Changes caused by ordinary weathering may include changes in colour, surface appearance or material character.
Customers are responsible for following any product-specific care and maintenance instructions supplied by SOLEA.
Damage caused solely by misuse, improper maintenance, modification, abnormal use or use contrary to supplied care instructions may not constitute a product defect.
This does not limit rights under the Australian Consumer Law.
8. Tailored configurations
SOLEA may offer tailored dimensions, configurations or finishes for selected products.
A tailored configuration begins as an enquiry and is not an order until the applicable configuration, specifications and price have been confirmed and accepted.
Information submitted through our tailored configuration form may include:
- your name;
- contact details;
- approximate space or dimensions;
- preferred finish;
- desired proportions;
- configuration requirements; and
- other information about your space.
We may rely on measurements and information supplied by you when preparing a tailored configuration.
You are responsible for ensuring that measurements or other information you provide are accurate.
SOLEA is not responsible for a fit issue caused solely by inaccurate measurements or information supplied by the customer.
9. Final approval of tailored orders
Before production begins on a tailored product, SOLEA may provide a written quotation, specification, drawing, configuration summary or other written confirmation.
The customer is responsible for reviewing:
- product dimensions;
- configuration;
- orientation;
- quantity;
- timber or material selection;
- finish;
- price;
- delivery information; and
- any other stated specifications.
Production may commence once:
- the final specification has been approved;
- any required payment has been received; and
- SOLEA confirms that the order is proceeding.
Approval may be provided electronically, including by email.
Once approved and production has commenced, changes may not be possible.
10. Customer-supplied measurements
Customers are responsible for measuring their intended space and delivery access.
Before ordering, you should confirm that the product will:
- fit within the intended area;
- pass through doors and entrances;
- pass through hallways;
- fit inside lifts where required;
- navigate stairways and corners;
- clear gates and other access points; and
- be capable of being safely delivered to its intended location.
Unless SOLEA has expressly agreed in writing to conduct a site measurement or assume responsibility for access assessment, the customer remains responsible for determining whether the product will fit.
A product is not defective merely because it does not fit the customer's intended space where the dimensions supplied by SOLEA were accurate.
11. Quotations
A quotation provided by SOLEA applies only to the products, configuration and services specified in that quotation.
A quotation may specify:
- its validity period;
- required payment;
- estimated production time;
- estimated delivery charges;
- configuration;
- materials;
- dimensions; and
- other conditions.
If a validity period is stated, the quotation may expire after that period.
Until a quotation has been accepted and an order confirmed, pricing and availability may change.
Any material changes requested after a quotation is issued may require a revised quotation.
12. Prices
Unless otherwise indicated, prices displayed to Australian consumers are in Australian dollars and include GST where applicable.
Additional charges that depend upon information not known when a product price is initially displayed, such as certain delivery requirements, may be advised once the necessary information is available.
Any unavoidable charges that can be calculated at the point of purchase will be disclosed in accordance with applicable law.
Australian businesses must display the minimum total price including taxes and unavoidable or pre-selected charges where those amounts can be calculated.
13. Pricing errors
We take reasonable care to ensure prices are correct.
If a genuine pricing, typographical or system error occurs, we may contact you before fulfilling the affected order.
Subject to applicable law, we may offer you the opportunity to proceed at the correct price or cancel the affected item and receive a refund of any amount paid for it.
We will not knowingly rely on a pricing error to mislead customers.
14. Orders
Placing an order constitutes an offer to purchase the selected products subject to these Terms.
An automatically generated order confirmation confirms that we have received your order. It does not necessarily mean that production or fulfilment has commenced.
We may need to verify:
- payment;
- product availability;
- configuration details;
- delivery information;
- suspected fraud;
- pricing errors; or
- other information necessary to fulfil the order.
We reserve the right to decline an order before acceptance where reasonably necessary and permitted by law.
If we decline an order after receiving payment, the applicable payment will be refunded.
15. Product availability
Availability shown online may change.
For made-to-order products, availability does not necessarily mean that a completed product is physically held in stock.
An item may instead be available for production or procurement.
If we become unable to supply a product after accepting your order, we will contact you and provide an appropriate solution in accordance with applicable law.
16. Made-to-order products
Products identified as made to order are produced, procured, allocated or finished specifically in response to an order.
As a result, production may begin before the product is ready for dispatch.
Once production or procurement has commenced, change-of-mind cancellation is not available.
This restriction does not affect any right to cancel, obtain a refund or receive another remedy where required by Australian Consumer Law.
17. Order changes
If you wish to change an order, contact us as soon as possible.
We cannot guarantee that changes can be accommodated once production, procurement, finishing or dispatch preparations have commenced.
If we agree to a requested change, it may:
- alter the price;
- create additional production costs;
- require additional freight;
- change the estimated completion date; or
- require a revised quotation.
We will advise you of material additional costs before proceeding with an approved variation.
18. Cancellations
SOLEA does not offer cancellation of made-to-order products for change of mind once production or procurement has commenced.
A cancellation requested before production commences may be considered.
If we agree to a cancellation, reasonable costs already incurred specifically in connection with the order may be deducted or charged where permitted by law.
Nothing in this clause allows SOLEA to retain amounts where doing so would be unlawful or constitute an unfair contract term.
19. Payment
Payment must be made using a payment method offered through our website, invoice or other authorised payment channel.
Orders may not proceed until required payment has cleared.
Payment processing may be provided by third-party payment providers, including Shopify and associated payment services.
SOLEA does not directly store complete payment-card credentials where those credentials are processed by an external payment provider.
You must not use:
- stolen payment information;
- unauthorised payment methods;
- fraudulent chargebacks; or
- false billing information.
We may delay fulfilment while reasonably investigating suspected payment fraud.
20. Deposits and staged payments
If a quotation or invoice provides for a deposit or staged payment arrangement, the payment schedule stated in that document forms part of the agreement.
A deposit may be applied toward:
- production;
- materials;
- procurement;
- configuration work;
- supplier commitments; or
- other costs associated with the order.
Any treatment of a deposit following cancellation will be determined in accordance with the accepted quotation, these Terms and applicable law.
SOLEA will not rely on a deposit term to remove rights that cannot lawfully be excluded.
21. Production and lead times
Any production, procurement or delivery timeframe stated by SOLEA is an estimate unless we expressly state in writing that a particular date is guaranteed.
Estimated timeframes may be affected by factors including:
- manufacturing;
- material availability;
- supplier delays;
- freight capacity;
- customs or border processes;
- weather;
- carrier disruption;
- port congestion;
- public holidays; and
- events outside our reasonable control.
We will take reasonable steps to fulfil orders within the estimated timeframe and communicate material delays where reasonably practicable.
Estimated lead times do not remove any rights a customer may have where products are not supplied within the period required by law.
22. Delivery
Delivery availability and charges may depend on:
- delivery location;
- product dimensions;
- product weight;
- delivery access;
- carrier requirements; and
- the delivery service selected.
The scope of the delivery service will be as described during checkout, in the applicable quotation or otherwise confirmed by SOLEA.
Unless expressly included, delivery should not be assumed to include:
- assembly;
- installation;
- removal of existing furniture;
- packaging removal;
- crane services;
- difficult-access handling;
- upstairs delivery; or
- other specialist services.
23. Delivery information
You must provide accurate delivery information.
You are responsible for notifying SOLEA of any relevant access restrictions before delivery arrangements are finalised.
This may include:
- stairs;
- narrow entrances;
- restricted parking;
- lift dimensions;
- gated access;
- building delivery rules;
- loading dock requirements; or
- other restrictions relevant to delivering large furniture.
24. Failed delivery
If delivery cannot be completed because of circumstances within the customer's reasonable control, including incorrect delivery information, inaccessible premises or absence for a specifically agreed delivery appointment, reasonable additional costs may apply.
These may include:
- redelivery;
- storage; or
- additional handling.
Any additional charge must reasonably reflect the relevant additional cost.
This clause does not apply where failed delivery was caused by SOLEA or a delivery provider for whose conduct SOLEA is legally responsible.
25. Refused delivery
Refusing delivery does not automatically cancel an order or create a right to a refund.
Where delivery is refused for change-of-mind reasons, the order remains subject to our Returns & Refunds Policy and these Terms.
This does not affect rights arising from actual damage, non-conformity or another matter covered by the Australian Consumer Law.
26. Authority to leave
Where an authority-to-leave service is available and you expressly request it, you authorise the carrier to leave the goods in accordance with your instructions.
You should only provide authority to leave where there is a safe and suitable location for delivery.
Risk will pass in accordance with applicable law and the delivery arrangement actually agreed between the parties.
27. Risk and ownership
Ownership of goods transfers to you once SOLEA has received full payment for those goods, subject to applicable law.
Risk of accidental loss or damage generally transfers upon delivery of the goods to the delivery address or another point expressly agreed with you.
Nothing in this clause affects responsibility for damage caused by SOLEA or its delivery provider.
28. Inspection following delivery
We recommend inspecting furniture reasonably soon after delivery.
If you notice transport damage or another apparent issue, please contact SOLEA promptly and provide reasonable information to assist our assessment.
This may include:
- your order number;
- photographs;
- video;
- photographs of packaging;
- measurements; and
- a description of the issue.
Prompt notification helps us investigate delivery damage efficiently.
However, failure to report an issue within an arbitrary short period does not extinguish rights you may have under the Australian Consumer Law.
29. Returns and refunds
Our Returns & Refunds Policy forms part of these Terms.
SOLEA does not accept returns, exchanges or refunds for change of mind, including where:
- you no longer want the product;
- you selected the incorrect product;
- the furniture does not suit your room;
- you prefer another finish or design;
- your circumstances change;
- the item does not fit where accurate dimensions were provided; or
- you find a similar product elsewhere for a different price.
Nothing in this provision limits rights under the Australian Consumer Law.
30. Faulty goods and Australian Consumer Law
Our goods come with guarantees that cannot be excluded under the Australian Consumer Law.
A product supplied to a consumer must, among other things, be of acceptable quality, be reasonably fit for applicable disclosed purposes and match its description or sample where relevant.
Where a problem is minor, SOLEA may be entitled to remedy it within a reasonable time.
Where goods have a major failure, the customer may have rights including choosing a replacement or refund.
A business is entitled to reasonably assess goods before determining the appropriate remedy.
Nothing in these Terms seeks to exclude or restrict those rights.
31. Repairs and replacement components
Where permitted under the Australian Consumer Law and appropriate in the circumstances, a product issue may be remedied by:
- repair;
- replacement of an affected component;
- replacement of the product; or
- another lawful remedy.
Where a problem is minor and can be remedied, a full refund will not automatically be available.
32. Returns of large furniture
Customers must not independently return large furniture to SOLEA without receiving instructions from us.
SOLEA does not guarantee that its registered business address, correspondence address or other published address is capable of physically receiving large furniture.
Where furniture needs to be inspected, repaired, collected or returned and SOLEA is legally responsible for arranging that process, we will provide appropriate instructions.
Furniture may be directed to:
- a freight depot;
- repair provider;
- warehouse;
- supplier facility; or
- another nominated location.
33. Product misuse and customer-caused damage
Consumer remedies may not apply to a problem caused solely by:
- misuse;
- accidental damage after delivery;
- improper assembly by someone not acting for SOLEA;
- unauthorised alteration;
- failure to follow reasonable care instructions;
- use outside the product's intended purpose; or
- another act or omission of the customer that caused the problem.
This clause does not apply to an independent defect or failure for which SOLEA remains responsible.
34. Warranties
Any express product warranty offered by SOLEA will be described separately.
An express warranty is additional to, and does not replace, rights under the Australian Consumer Law.
Where SOLEA provides a written warranty against defects, that warranty will be subject to the requirements applicable to warranties against defects under Australian law. The ACCC requires specific information and mandatory ACL wording for such warranties.
35. Promotions and discount codes
From time to time, SOLEA may offer promotions, discounts or promotional codes.
Unless otherwise stated:
- promotions cannot be exchanged for cash;
- only one promotional code may be applied where the relevant offer specifies this;
- eligibility requirements must be satisfied;
- promotional periods may end at the stated expiry time; and
- discounts apply only to eligible products.
Any material conditions of a promotion will be disclosed with the offer.
Nothing in a promotion limits consumer rights.
36. Website availability
We aim to keep our website available and functioning properly.
However, we do not guarantee uninterrupted or error-free access.
The website may occasionally be unavailable because of:
- maintenance;
- technical faults;
- third-party services;
- internet outages;
- platform outages; or
- circumstances outside our reasonable control.
37. Errors and inaccuracies
Our website may occasionally contain:
- typographical errors;
- incorrect descriptions;
- outdated availability information;
- technical errors; or
- other inadvertent inaccuracies.
If we identify a material error affecting an order, we will take reasonable steps to contact the affected customer and resolve the issue in accordance with applicable law.
38. Shopify and third-party services
Our store is hosted on Shopify.
Parts of the website, checkout, payment, shipping, analytics or other functionality may be provided by third parties.
Use of third-party services may also be subject to the relevant provider's terms and privacy policies.
SOLEA remains responsible for its own obligations to customers notwithstanding its use of service providers where required by law.
39. Third-party links
Our website may contain links to websites operated by third parties.
A link does not necessarily constitute endorsement.
We are not responsible for the content, privacy practices or availability of websites that we do not control.
40. Accounts and security
If customer-account functionality is available, you are responsible for maintaining the security of your account and authentication details.
You must notify us if you become aware of unauthorised use of your account.
You must not attempt to access another person's account without permission.
41. Acceptable use
You must not use our website:
- unlawfully;
- fraudulently;
- to introduce malicious software;
- to interfere with website security;
- to scrape or overload systems in a manner that materially disrupts the service;
- to impersonate another person;
- to submit false payment information;
- to infringe intellectual property rights; or
- to engage in conduct intended to harm SOLEA, our customers or third parties.
Legitimate browsing, indexing and use by search engines and authorised automated agents is permitted subject to applicable technical and access controls.
42. Intellectual property
Unless otherwise stated, content on the SOLEA website is owned by or licensed to SOLEA.
This includes:
- photographs;
- videos;
- product imagery;
- graphics;
- branding;
- logos;
- written copy;
- product designs;
- illustrations;
- website design elements; and
- other original content.
You may view the website for personal, non-commercial purposes.
You must not reproduce, commercially exploit, modify, distribute or republish protected SOLEA content without permission except where permitted by law.
43. Customer content
If you voluntarily provide SOLEA with a review, photograph, testimonial or other content for publication, we will only use that material in accordance with the permission granted by you and applicable law.
You must not knowingly provide material that:
- infringes another person's intellectual property;
- is unlawful;
- is defamatory;
- is fraudulent; or
- violates another person's privacy.
Any separate permission or licence agreed when content is submitted will also apply.
44. Privacy
We handle personal information in accordance with our Privacy Policy and applicable privacy law.
Our Privacy Policy is available at:
https://solea.living/policies/privacy-policy
By providing personal information to us, you acknowledge that it will be handled as described in our Privacy Policy.
45. Electronic communications
You agree that we may communicate with you electronically in connection with:
- your enquiry;
- quotation;
- order;
- payment;
- production;
- delivery;
- customer-service request; or
- other transaction with SOLEA.
Transactional communications are separate from marketing communications.
Marketing messages will be handled in accordance with applicable law and available unsubscribe mechanisms.
46. Limitation of liability
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy or liability that cannot lawfully be excluded.
To the maximum extent permitted by law, SOLEA is not responsible for loss or damage to the extent that it was caused by:
- your breach of these Terms;
- inaccurate information supplied by you;
- misuse of a product;
- unauthorised modification;
- failure to follow applicable care instructions; or
- circumstances for which SOLEA is not legally responsible.
Where liability may lawfully be limited, SOLEA's liability will be limited only to the extent permitted by applicable law.
Nothing in these Terms seeks to exclude liability for losses that the law requires SOLEA to bear.
47. Indemnity
To the extent permitted by law, you are responsible for loss suffered by SOLEA as a direct result of your unlawful use of our website or intentional infringement of another person's rights.
This provision does not make you responsible for loss caused by SOLEA, nor does it exclude or restrict any statutory right.
48. Events outside our reasonable control
SOLEA will not be responsible for delay to the extent caused by an event outside our reasonable control, such as severe weather, natural disaster, widespread transport disruption, government restriction, industrial disruption or significant supply-chain interruption.
Where such an event affects an order, we will take reasonable steps to:
- minimise the effect;
- communicate material delays where practicable; and
- resume performance when reasonably possible.
This clause does not remove any right you have under applicable law where the delay becomes unreasonable or the goods cannot be supplied.
49. Complaints and dispute resolution
If you have a concern about an order, please contact SOLEA first so that we can attempt to resolve the matter directly.
Please include:
- your name;
- order number;
- description of the issue; and
- any relevant supporting material.
Nothing in this process prevents either party from exercising legal rights or contacting an applicable consumer-protection body.
50. Changes to these Terms
We may update these Terms from time to time.
The Terms applying to an order are generally those made available to you when that order or agreement was entered into, together with any later variation that you validly agree to.
Changes to website terms will not retrospectively remove existing contractual or statutory rights.
51. Severability
If any part of these Terms is found to be invalid, unlawful or unenforceable, that provision will be read down to the extent reasonably possible.
If it cannot be read down, the affected provision will be severed.
The remainder of the Terms will continue to operate.
52. No waiver
If SOLEA does not immediately enforce a right under these Terms, this does not necessarily mean that right has been waived.
53. Entire agreement
These Terms, together with:
- the relevant product page;
- accepted quotation or specification;
- order confirmation;
- Returns & Refunds Policy;
- Shipping Policy;
- Privacy Policy; and
- any other terms expressly agreed between you and SOLEA
form the agreement relating to the applicable transaction.
Where an individually negotiated and expressly accepted quotation or specification conflicts with a general product description, the individually agreed document will prevail to the extent of that inconsistency, subject always to applicable law.
54. Priority of Australian Consumer Law
If there is any inconsistency between these Terms and a right or remedy that cannot be excluded under the Australian Consumer Law, the Australian Consumer Law prevails.
No statement in these Terms should be interpreted as representing that a consumer has fewer rights than the law provides.
55. Governing law
These Terms are governed by the laws of Queensland, Australia, and the laws of the Commonwealth of Australia applicable in Queensland.
Subject to any right a consumer has to bring proceedings elsewhere, the parties submit to the jurisdiction of the courts and tribunals of Queensland and applicable Commonwealth courts.
